Terms & Conditions
This Agreement ("Agreement") is a legally binding contract between you as an individual or entity ("Customer") and Nifty ERP ("niftyerp.com") and becomes effective upon your acceptance. Nifty ERP reserves the right to amend this Agreement at its sole discretion without prior notice. Any updates will be made available on the Website, and continued use of the services signifies your acceptance of the latest version. It is your responsibility to stay informed of the most recent Terms.
Definitions
Nifty ERP refers to Nifty ERP (niftyerp.com), a business registered in Pakistan.
Data refers to any information input by the Customer into the Nifty ERP platform.
Customer includes you and any individuals you authorize to access the software on your behalf, including employees, contractors, and agents.
Software refers to the suite of software applications, documents, databases, and related content provided via the Nifty ERP platform.
Subscription Fee refers to the amount payable by the Customer to Nifty ERP as published on the Website.
Website refers to https://niftyerp.com and other associated domains such as https://app.niftyerp.com.
Use of Software
Nifty ERP grants the Customer a limited, non-exclusive, non-transferable license to access and use the Software through the Website, in accordance with these Terms.
Nifty ERP reserves the right to reject any application to use the Software or Website at its discretion, with no obligation to provide a reason. No fee will be charged for declined applications.
Intellectual Property
All intellectual property rights in the Software and Website remain the exclusive property of Nifty ERP. Customers may not copy, modify, lease, sell, distribute, or create derivative works of the Software or Website.
Any enhancements or features developed by Nifty ERP---even if suggested or funded by the Customer---remain the sole property of Nifty ERP.
Usage Restrictions
As a condition of use, the Customer agrees:
- Not to replicate, modify, or distribute the Software.
- Not to reverse engineer or attempt to extract source code, unless allowed by law.
- Not to engage in any activity that disrupts, harms, or compromises the integrity or performance of the Software or Website.
- Not to misuse communication tools provided on the platform for unauthorized or illegal purposes.
Partner Program
Customers enrolled in the Nifty ERP Partner Program may market the Software to their clients and are responsible for paying Nifty ERP the applicable Subscription Fees for each client account. Partners may choose to invoice clients directly.
Data Ownership
The Customer retains ownership of all input data. However, access to this data is dependent upon full payment of Subscription Fees. Nifty ERP is not liable for any loss of Customer data.
Free Trial
Customers may access a trial version of the Software free of charge. During this trial, the Customer may cancel at any time with no payment due.
Payments
After the trial period or upon early subscription, the Customer agrees to pay the Subscription Fee as detailed on the Website. Charges are typically processed monthly and are exclusive of applicable taxes.
By subscribing, the Customer authorizes Nifty ERP to charge their payment method on a recurring monthly basis.
Termination
Customers may cancel their subscription at any time. Upon cancellation, access to the Software is revoked, and no further payments will be charged.
Nifty ERP may terminate this Agreement at any time for non-compliance or non-payment. We may also terminate without cause with one month's notice.
After termination, access to Software and Data will be disabled. Customer data may be permanently deleted 90 days after termination or upon written request.
Support
Support services (email, chat, or phone) are provided at Nifty ERP's discretion and are not guaranteed.
Communication Tools
Customers agree to use in-platform communication tools (e.g., chat, forums) responsibly and lawfully. Content posted must not be harmful, illegal, or violate intellectual property rights.
Nifty ERP reserves the right to remove inappropriate content without notice.
Confidentiality
All information exchanged between the Customer and Nifty ERP, whether oral, written, or electronic, shall be treated as confidential unless publicly available or legally required to be disclosed. This clause survives the termination of the Agreement.
Privacy
The Privacy Policy published at https://niftyerp.com/privacy forms a part of this Agreement.
Login Security
Customers are responsible for safeguarding their account credentials. Unauthorized access must be reported to Nifty ERP immediately.
Availability
Nifty ERP does not guarantee uninterrupted access to the Software. Maintenance or unforeseen issues may affect availability. We will endeavor to notify customers of major planned downtimes.
Customer Acknowledgements
The Customer agrees:
- To use the Software solely for lawful business purposes.
- That they are authorized to access the data being used.
- That Nifty ERP is not liable for accounting, tax, or legal decisions made based on use of the Software.
- That the Software is provided "as is" and at the Customer's own risk.
Limitation of Liability
Nifty ERP disclaims all warranties regarding the Software and Website. We are not liable for any indirect, special, incidental, or consequential damages, including data loss.
Where liability cannot be excluded, it is limited to the amount paid by the Customer in Subscription Fees in the preceding month.
Indemnification
The Customer agrees to indemnify and hold harmless Nifty ERP from any claims or losses resulting from breach of these Terms or third-party claims related to the Customer's use of the Software.
Jurisdiction
This Agreement is governed by the laws of Pakistan. Disputes shall be resolved in the courts of Pakistan.
Third-Party Rights
This Agreement does not grant rights to any third party.
Assignment
Customers may not assign or transfer this Agreement without written consent from Nifty ERP.
Waiver
No waiver is effective unless in writing. If any part of this Agreement is invalid or unenforceable, it will be replaced with a valid provision that achieves the original intent.
Entire Agreement
These Terms, along with the Privacy Policy, represent the complete agreement between the Customer and Nifty ERP, superseding all previous discussions and understandings.
Acceptance
By selecting "I have read and accepted the Terms and Conditions" during registration, the Customer agrees to all clauses outlined above.
